This is the master contract between Teddys Ventures Limited, trading as Mealround, and each customer. Your price, start date and any special terms are in your Order Form on your sign-up page. The Order Form, these terms and the Mealround Data Processing Agreement together make the contract.

1. The service

1.1 Who we are. “Mealround”, “we” and “us” mean Teddys Ventures Limited, registered in England and Wales (company no. 17175500), registered office Suite 6, The Workshop, Wharf Road, Eastbourne, East Sussex, BN21 3FG. “You” means the customer named on the Order Form.

1.2 What you get. Access to the Mealround software for your meals service, with every feature in your plan, for as many office users and drivers as you need. Hosting, backups, updates and support are included.

1.3 Set-up. We load your customers, menus, rounds and drivers from the information you give us, set Mealround up in your name, and train your office team and drivers. We aim to have you live within 4 weeks of receiving your information.

1.4 Support. By email at hello@mealround.co.uk and by phone, Monday to Friday, 9am to 5pm, excluding bank holidays. We aim to reply the same working day, and sooner when a problem stops you delivering meals.

1.5 Website rebuild. Where the Order Form says it is included, we rebuild your website with online ordering, live menus, a postcode checker and a new customer sign-up form, all linked to Mealround. You supply your content, photos and logo, and own the website and its domain.

1.6 Changes. We improve Mealround over time. We will not remove a feature you rely on without at least 3 months’ notice.

2. Term and ending it

2.1 This agreement starts when you accept it online. The subscription starts on your go-live date.

2.2 Minimum term: 12 months from the subscription start.

2.3 After the minimum term, the subscription carries on month by month until either of us gives 3 months’ written notice. Notice can be given by email. It can be given during the minimum term, to end on or after the last day of it.

2.4 If you end the agreement during the minimum term other than under section 6, the monthly fees for the rest of the minimum term are still payable.

3. Fees and payment

3.1 Set-up fee: paid by card when you sign up, using the payment link on your sign-up page. Set-up work starts once it is paid. It is not refundable once set-up work has started.

3.2 Monthly subscription: paid monthly in advance by Direct Debit, collected by GoCardless on behalf of Teddys Ventures Limited. The first payment is taken on or shortly after your go-live date. You set up the Direct Debit using the link on your sign-up page.

3.3 Teddys Ventures Limited is not currently VAT registered, so no VAT is charged on our fees. If that changes, we will give you at least 30 days’ notice before adding VAT.

3.4 Price reviews: prices are fixed for the minimum term. After that we may change them once a year with at least 60 days’ written notice. If you don’t accept a change, you may end the agreement before the new price starts, without the usual notice period.

3.5 Late payment: if a payment fails, we will tell you and try again. If any amount is more than 30 days overdue, we may suspend access after giving 7 days’ written warning. We will never delete your data because of late payment while this agreement is in force.

3.6 Card and Direct Debit fees for payments your own customers make to you through Mealround are charged by Stripe and GoCardless directly to you and are not part of our fees.

4. Your responsibilities

You will:

  1. Give us accurate information for set-up and keep your customer records up to date.
  2. Make sure only your staff, volunteers and drivers use your logins, keep PINs and passwords private, and remove access when someone leaves.
  3. Have a lawful basis for the personal data you put into Mealround, including your customers’ health and diet information, and tell your customers how you use it.
  4. Not use Mealround for anything unlawful, or try to copy, resell or break into the software.
  5. Stay responsible for your meals service itself: food safety, allergens on your menus, welfare decisions and contacting next of kin. Mealround is a tool to help you run it.

5. Data, confidentiality and ownership

5.1 Data protection: the Mealround Data Processing Agreement forms part of this contract. You are the controller of your customers’ personal data; we process it only to provide Mealround to you.

5.2 Your data is yours. You can export it at any time. We do not sell it or use it for anything except providing and supporting Mealround for you.

5.3 Confidentiality: each of us keeps the other’s business information confidential, except where the law requires it to be shared.

5.4 Ownership: we own the Mealround software and everything we develop for it. This agreement gives you the right to use it for your service while your subscription lasts.

6. Availability, liability and ending for breach

6.1 Availability: we aim to keep Mealround available 24 hours a day and to carry out planned maintenance outside delivery hours with notice. We do not guarantee it will never be interrupted, and we are not responsible for problems caused by your internet connection, phones or devices.

6.2 Liability: our total liability to you in any 12 months is limited to the fees you paid us in those 12 months. Neither of us is liable for indirect losses or loss of profit. Nothing limits liability for death or personal injury caused by negligence, for fraud, or anything else that cannot be limited by law.

6.3 Ending for breach: either of us may end this agreement straight away by written notice if the other seriously breaks it and does not put it right within 30 days of being asked, or becomes insolvent.

6.4 Events outside our control: neither of us is responsible for delays caused by things outside our reasonable control, such as a major outage at our hosting provider.

7. At the end, and general terms

7.1 At the end: we send you a full export of your data on request and delete it as set out in the Data Processing Agreement. Fees already paid are not refunded, except where we end the agreement for our own convenience or you end it under section 6.3.

7.2 Notices: by email to the contact on the Order Form, or to hello@mealround.co.uk.

7.3 Whole agreement: the Order Form, these terms and the Data Processing Agreement are the whole agreement between us. If they conflict, the Order Form wins, then the Data Processing Agreement on data protection, then these terms.

7.4 Transfer: you may not transfer this agreement without our agreement. We may transfer it to a company that takes over Mealround, on notice to you.

7.5 Accepting online: by typing your name and ticking to accept on your sign-up page, you confirm you have authority to sign for your organisation, and you accept this agreement as if signed on paper.

7.6 Law: this agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
